3. Client Responsibilities

  • Ensure that all content provided by you for the Services complies with applicable laws and does not infringe on third-party rights.

  • Be solely responsible for the accuracy, legality, and appropriateness of any content you provide.

  • Pay all fees as outlined in your contract or agreement with MetaInfo.

4. Payment Terms

  • All fees for Services are due as specified in the invoice or agreement.

  • Payments for website design, hosting, or digital marketing services are non-refundable unless otherwise specified.

  • Failure to pay on time may result in suspension or termination of the Services, including access to hosted websites.

  • MetaInfo reserves the right to modify pricing for Services with prior notice.

5. Ownership and Rights

  • Upon full payment, the client will retain ownership of the final deliverables (e.g., website design files, content, etc.) subject to any third-party rights, including software or tools used to provide the Services.

  • MetaInfo retains ownership of any proprietary tools, software, templates, and intellectual property used during the provision of Services.

6. Confidentiality

MetaInfo agrees to keep all client information confidential and not share it with third parties, except when required by law or with your prior consent. Likewise, the client agrees to keep all MetaInfo proprietary information confidential.

7. Service Availability and Uptime

  • MetaInfo strives to provide uninterrupted and reliable hosting services; however, we do not guarantee 100% uptime.

  • MetaInfo is not responsible for downtime, delays, or disruptions caused by factors outside our control, such as third-party service providers, network issues, or natural disasters.

8. Termination

Either party may terminate this agreement with written notice. Upon termination:

  • All outstanding payments must be made.

  • MetaInfo will return any client materials as agreed upon, provided all fees have been paid.

  • Any Services that require hosting will be terminated upon notice unless otherwise specified.

9. Indemnification

You agree to indemnify, defend, and hold harmless MetaInfo, its officers, employees, agents, and affiliates from any and all claims, damages, liabilities, costs, and expenses arising from your use of the Services, including any violations of these Terms.

10. Limitation of Liability

MetaInfo will not be held liable for any indirect, incidental, special, or consequential damages, including lost profits or data, arising out of your use of the Services. Our total liability is limited to the amount you have paid to MetaInfo for the Services within the 12-month period prior to the claim.
